Terms & Conditions

By engaging Vedonyx ("we," "our," "us") for development services, you ("client," "you") agree to comply with and be bound by the following terms. Please read these terms carefully before using our services.
1. Agreement to Terms
These terms apply to all projects and services provided by Vedonyx, including but not limited to web development, mobile app development, UI/UX design, and consulting services. By using our services, you acknowledge that you have read, understood, and agree to be bound by these terms.
2. Project Scope and Payment
2.1 Details & Changes:
All project requirements must be communicated at the start of the project. This includes but is not limited to:
- Specific functionalities
- Design preferences
- Target platforms
- Integration requirements
- Performance expectations
Changes or omissions after the project has commenced may incur additional charges or, in some cases, result in project cancellation. We strongly encourage clients to thoroughly review and approve the initial project scope to avoid complications.
2.2 Budget & Advance Payment:
Payment terms are finalized at the outset of each project. Our standard terms are as follows:
- A 50% non-refundable deposit is required upfront for all custom projects.
- The remaining 50% is due upon project completion, before the final deliverables are transferred.
- For projects exceeding $10,000, we may offer a milestone-based payment structure.
- Payments for templates or pre-built solutions are 100% upfront and non-refundable once delivered.
If a project is canceled due to undisclosed details or client-side issues, any advance payments made are non-refundable. This policy is in place to protect our time and resources invested in project preparation and initial work.
3. Timelines & Delays
3.1 Deadlines:
We strive to meet all agreed-upon deadlines. However, in the event that a project exceeds the agreed deadline due to delays caused by Vedonyx:
- The project value will decrease by 10% per day of delay.
- The client will still pay the original project amount.
- The client will be compensated with Vedonyx Coins equivalent to the deducted value.
3.2 Compensation:
Vedonyx Coins are our loyalty program currency. They can be used for future services, including but not limited to:
- Discounts on future projects
- Additional support hours
- Priority scheduling for urgent tasks
3.3 Client Delays:
Delays caused by the client in providing feedback, assets, or necessary information may extend the project timeline without penalty to Vedonyx. We kindly request that clients:
- Respond to queries within 2 business days
- Provide requested assets or information within agreed timeframes
- Schedule and attend necessary meetings or calls as planned
Persistent delays from the client side may result in project rescheduling or, in extreme cases, project termination with applicable fees.
4. Vedonyx Coins Loyalty Program
Our unique loyalty program rewards clients for their continued partnership:
- Earn 10-15% cashback in Vedonyx Coins for every completed project.
- Cashback percentage increases with cumulative project value over time.
- Coins can be redeemed for discounts on future projects or additional services.
- Coins have no expiry date but are non-transferable and have no cash value.
The exact earning rate and redemption options may be subject to change. Any changes will be communicated to all active clients.
5. Intellectual Property
5.1 Ownership:
Upon full payment of the project fees:
- All rights to the final deliverables transfer to the client.
- This includes source code, design files, and any other project-specific assets.
- Vedonyx retains the right to showcase the project in our portfolio unless otherwise agreed in writing.
5.2 Templates:
For pre-built templates or solutions:
- Clients receive a non-exclusive license for personal or commercial use.
- Templates cannot be resold or redistributed without explicit written permission from Vedonyx.
- Customization of templates does not grant ownership of the base template structure.
6. Legal Compliance
Vedonyx is committed to ethical business practices and legal compliance:
- We will not accept projects involving illegal activities or content.
- This includes but is not limited to: copyright infringement, malware, phishing, or any form of cybercrime.
- We reserve the right to terminate any project immediately if we discover it involves illegal activities.
- Clients are responsible for ensuring their project complies with all applicable laws and regulations.
In case of project termination due to legal concerns, no refund will be provided for work completed, and we may be obligated to report certain activities to relevant authorities.
7. Maintenance & Support
7.1 Maintenance:
Ongoing maintenance is crucial for the longevity and security of your digital assets:
- Maintenance terms must be discussed and agreed upon upfront.
- We offer various maintenance packages to suit different needs and budgets.
- Ad-hoc maintenance requests may incur additional charges.
7.2 Support:
Our support policy ensures you get the assistance you need:
- Support for custom-developed solutions is available for 30 days post-delivery at no extra cost.
- This includes bug fixes and minor adjustments related to the original project scope.
- Support requests outside this period or beyond the original scope will be billed separately.
- Emergency support services are available at premium rates.
8. Confidentiality
Protecting your information is paramount to us:
- Both Vedonyx and the client agree to protect all sensitive information shared during the project.
- This includes business strategies, proprietary technologies, and personal data.
- We employ industry-standard security measures to safeguard your data.
- Information may be disclosed if required by law or with prior written consent.
Clients are advised to specify any particularly sensitive information at the start of the project to ensure appropriate handling.
9. Refund and Cancellation Policy
9.1 Refunds:
Our refund policy is designed to be fair to both parties:
- Refund requests are evaluated on a case-by-case basis.
- Partial refunds may be issued, excluding compensation for completed work.
- No refunds are available for completed and delivered projects or templates.
- Refund requests must be submitted in writing within 7 days of project completion.
9.2 Cancellation:
We understand that circumstances can change. Our cancellation policy is as follows:
- Clients may cancel a project at any time by providing written notice.
- Cancellation fees may apply, based on the amount of work completed.
- Vedonyx reserves the right to terminate projects if terms are violated or if critical issues arise.
- In case of termination by Vedonyx, a detailed explanation will be provided.
10. Limitation of Liability
While we strive for excellence, we must outline our liability limits:
- Vedonyx is not liable for any indirect, incidental, or consequential damages arising from our deliverables or delays.
- This includes but is not limited to loss of profits, data, or business opportunities.
- Our maximum liability is limited to the amount paid by the client for the specific project in question.
- We strongly recommend that clients maintain appropriate backups and security measures.
11. Dispute Resolution
In the event of a disagreement:
- Disputes will first be addressed through mutual discussion and negotiation.
- If no resolution is reached, both parties agree to seek mediation before pursuing legal action.
- Any legal proceedings will be governed by the laws of [Jurisdiction].
- The prevailing party in any legal action shall be entitled to recover reasonable attorney's fees and costs.
12. Usage and License
Clarification on the usage rights of our deliverables:
- Custom-developed solutions are licensed solely to the client upon full payment.
- This license is non-transferable unless explicitly agreed upon in writing.
- Templates are licensed for single-use only, unless a multi-use license is purchased.
- Clients are responsible for obtaining any necessary third-party licenses for plugins or assets used in their projects.
13. Amendments
We reserve the right to update these terms:
- Vedonyx may update these terms at any time to reflect changes in our practices or legal requirements.
- Clients will be notified of any significant changes via email.
- Continued use of our services after changes constitutes acceptance of the updated terms.
- We encourage clients to review these terms periodically.
14. Governing Law
Legal framework for these terms:
- These terms are governed by and construed in accordance with the laws of [Jurisdiction].
- Any disputes arising under or in connection with these terms shall be subject to the exclusive jurisdiction of the courts in [Jurisdiction].
