Terms & Conditions

These Terms & Conditions govern all services provided by VEDONYX ("Agency", "We", "Us") to the Client ("Client", "You"). By engaging VEDONYX services, making payment, approving quotations, or initiating a project, you agree to these Terms.
01Scope of Services
VEDONYX provides digital and technology services including but not limited to:
Project scope shall be defined through quotations, invoices, proposals, agreements, or approved discussions. Any requirement outside approved scope may incur additional charges.
02Project Initiation Requirements
Project timelines begin only after:
- Advance payment is received
- Required credentials are shared
- Content requirements are completed
- Assets and information are submitted
Timeframe & Penalties
Clients must provide required content, credentials, branding materials, assets, and information within 7 calendar days from project confirmation.
Failure to provide required materials within 7 days may result in project delay, project inactive status, resource reallocation, or additional holding charges. VEDONYX reserves the right to apply 10% of total project value per inactive additional week.
Projects inactive due to missing client requirements may be terminated. Amounts paid remain non-refundable.
03Client Responsibilities
Client agrees to:
- Provide required information on time
- Maintain timely communication
- Ensure provided materials do not violate copyright laws
- Provide approvals within reasonable timelines
- Ensure content accuracy
Client-side delays automatically extend delivery timelines.
04Revisions & Change Requests
Revision requests should remain within approved scope. Clients must provide revision feedback within 5 calendar days after review submission. Revision requests should be consolidated wherever possible. Failure to provide revision feedback within timeline may constitute approval.
Additional features, redesign requests, scope expansion, or requirements beyond approved scope may incur additional charges. VEDONYX reserves right to determine whether requests fall under revision or additional work.
Testing-related requirements may extend revision timelines where necessary.
05Project Inactivity Policy
Projects receiving no client response, approval, content, or communication for 14 consecutive calendar days may be marked inactive.
VEDONYX reserves right to pause work, reallocate resources, apply restart fees, extend delivery timelines, or cancel inactive projects.
Restarting inactive projects may incur additional charges. Extended inactivity may lead to project cancellation. Amounts paid prior to cancellation remain non-refundable.
06Cancellation & Refund Policy
Client Initiated Cancellation
Fees already paid remain non-refundable. Completed work up to cancellation date shall be delivered where applicable.
Third-party costs including domains, hosting, APIs, licenses, plugins, software subscriptions, and cloud services remain non-refundable. Completed but unpaid work may still be invoiced.
Agency Initiated Cancellation
If VEDONYX terminates a project without client breach, refunds for unused services may be processed within 7–10 business days. Refund timelines depend upon payment providers. Cancellation requests must be submitted in writing.
07Payment Terms
- Advance payment is required before project initiation.
- Payment schedules follow approved quotations/invoices.
- Delayed payments may suspend project progress.
- Deliverables may remain withheld until outstanding payments are cleared.
08 Scope Changes
Requirements outside approved scope including additional pages, functionality, integrations, redesign requests, or expanded requirements may incur additional charges. Additional work shall be quoted separately.
09 Intellectual Property
Ownership transfers only after complete payment clearance. Until full payment, source code, design assets, and development files remain VEDONYX property.
VEDONYX retains ownership of internal systems, frameworks, reusable components, methodologies, and agency-owned tools.
10 Third Party Services
VEDONYX may use third-party providers including hosting providers, APIs, AI systems, cloud infrastructure, and external software providers. VEDONYX shall not be liable for downtime, outages, pricing changes, limitations, or policy changes of third-party providers.
11Warranty & Maintenance Policy
VEDONYX provides a default 7 calendar day warranty period from final delivery. During this warranty period, technical defects directly related to delivered functionality may be addressed without additional charges.
The warranty does not cover:
VEDONYX Plus
After the standard warranty period ends, clients may purchase additional maintenance and support plans through VEDONYX Plus. This may include:
12Footer Attribution Policy
Unless explicitly agreed otherwise in writing before project initiation, delivered websites or digital products may include a footer attribution such as:
This attribution serves as development credit and portfolio identification. Clients may not remove, modify, hide, or alter attribution elements unless attribution removal was discussed and approved before project initiation, or separate attribution removal arrangements were agreed upon.
Attribution Removal
Attribution removal may be available upon prior agreement and applicable charges.
13. Performance Disclaimer
VEDONYX does not guarantee revenue growth, lead generation performance, advertisement performance, search engine rankings, business growth, conversion rates, or user acquisition metrics. Outcomes depend on multiple external factors.
14. Portfolio Rights
Unless agreed otherwise in writing, VEDONYX may display completed projects within our Portfolio, Social Media, Case Studies, and Marketing Materials. Confidential projects may request exclusion before project initiation.
15. Delivery Timelines
Project timelines depend upon client approvals, content delivery, technical requirements, and third-party dependencies. Client delays automatically extend project timelines. Timelines provided remain estimates unless explicitly agreed otherwise.
16. Limitation of Liability
VEDONYX shall not be liable for indirect losses, revenue loss, business interruption, consequential damages, or opportunity loss. Maximum liability shall not exceed amount paid for affected service.
17. Acceptable Usage
VEDONYX reserves right to refuse projects involving illegal activities, fraud, copyright infringement, malicious software, unauthorized access systems, or harmful automation.
18. Service Termination
VEDONYX reserves right to terminate services for non-payment, abuse, policy violations, illegal requests, extended inactivity, or repeated operational disruptions.
19. Force Majeure
VEDONYX shall not be liable for delays caused by events beyond reasonable control including internet outages, natural disasters, cyber incidents, government restrictions, or infrastructure failures.
20. Changes To Terms
VEDONYX reserves right to modify these Terms at any time. Updated Terms become effective upon publication.
21. Acceptance
By engaging VEDONYX services, submitting payment, approving quotations, or continuing collaboration, Client acknowledges full acceptance of these Terms.
